1. Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Client", "you", or "your") and UiSoftech Private Limited ("Company", "we", "our", or "us"), a company registered under the Companies Act, 2013, with its registered office at 26, Keshav Nagar, Lane No. 2, Civil Lines, Jaipur - 302006, Rajasthan, India.

By accessing our website uitech.in, engaging our services, or signing a service agreement, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.

2. Services Description

UiSoftech Private Limited offers the following services:

• Mobile App Development: Android, iOS, and cross-platform apps (Flutter, React Native)
• Website Development: Landing pages, corporate websites, web applications, e-commerce platforms
• AI Model Development: Custom ML models, NLP systems, computer vision solutions
• AI App Development: Chatbots, recommendation engines, intelligent automation tools
• Graphic Design: Logo design, brand identity, UI/UX design, marketing materials
• Social Media Marketing: Content creation, paid advertising, community management
• Digital Marketing: SEO, Google Ads, Meta Ads, email marketing, analytics

The specific scope, deliverables, timelines, and pricing for each project will be outlined in a separate Statement of Work (SOW) or project proposal agreed upon by both parties.

3. Project Agreement & Scope of Work

3.1 Project Initiation

All projects begin only after:

• Written confirmation or signed proposal/agreement
• Receipt of the agreed advance payment (typically 50% of the total project cost)
• Clear and complete project brief or requirements document from the client

3.2 Scope Changes

Any changes to the agreed project scope ("scope creep") after project commencement will require:

• A written change request from the client
• Written approval from UiSoftech team
• Additional charges may apply based on the nature and extent of changes
• Possible revision of the project timeline

3.3 Project Timeline

Timelines are estimated based on the project scope and are subject to the timely provision of required materials, approvals, and feedback from the client. Delays caused by the client may result in revised delivery dates.

3.4 Revisions & Feedback

Each project phase includes a defined number of revision rounds as specified in the SOW. Additional revisions beyond the agreed number will be billed at our standard hourly rate (₹500–₹2,000/hour depending on service type).

4. Payment Terms

4.1 Payment Schedule

Payment schedules may vary based on the project and will be specified in the SOW.

4.2 Payment Methods

• Bank Transfer / NEFT / RTGS / IMPS
• UPI (PhonePe, GPay, Paytm)
• Razorpay (Credit/Debit Card, Net Banking)
• International Wire Transfer (for overseas clients)

4.3 Late Payments

Invoices are due within 7 days of issuance unless otherwise agreed. Late payments may result in:

• Suspension of active project work
• A late fee of 2% per month on the outstanding amount
• Withholding of deliverables until full payment is received

4.4 GST

All applicable taxes including GST @ 18% will be added to invoices as per Indian tax regulations. Our GSTIN will be mentioned on all invoices.

5. Intellectual Property Rights

5.1 Client-Owned Assets

Upon receipt of full payment, the client receives full ownership of the final deliverables, including:

• Source code written specifically for the client's project
• Custom graphic design assets, logos, and branding materials
• Content and copies created uniquely for the client

5.2 UiSoftech-Retained Assets

UiSoftech retains ownership of:

• Proprietary frameworks, tools, libraries, and methodologies developed by us
• Pre-existing code modules and components used within the project (client receives a license to use them)
• Portfolio rights — we reserve the right to showcase completed work in our portfolio unless explicitly agreed otherwise in writing

5.3 Third-Party Assets

Third-party elements (stock images, fonts, plugins, APIs) are subject to their respective license terms. The client is responsible for obtaining and maintaining any required licenses for third-party components used in their project.

5.4 Pre-payment

No intellectual property rights are transferred until full payment has been received. We reserve the right to remove or disable access to deliverables in case of non-payment.

6. Client Responsibilities

To ensure successful project delivery, the client agrees to:

• Provide clear, accurate, and complete project requirements
• Provide timely feedback and approvals within the agreed timeframes (typically within 3–5 business days)
• Supply all necessary materials (content, images, brand assets, credentials) as requested
• Designate a single point of contact for project communication
• Ensure all provided content and materials do not infringe any third-party rights
• Make payments as per the agreed schedule

7. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the project. This includes but is not limited to:

• Business strategies, plans, and financial information
• Technical specifications, source code, and system architecture
• Client data, user databases, and credentials
• Marketing strategies and campaign data

Confidentiality obligations survive the termination of this agreement for a period of 3 years. A separate Non-Disclosure Agreement (NDA) can be signed upon request.

8. Warranties & Disclaimers

8.1 Our Warranty

UiSoftech warrants that:

• Services will be performed with professional care and skill
• Deliverables will substantially conform to the agreed specifications
• We have the right to enter into this agreement and perform the services

8.2 Post-Delivery Bug Fix Period

We offer a 30-day free bug-fix period after final delivery for issues directly related to the agreed scope. This excludes:

• New feature requests
• Issues caused by client modifications
• Third-party platform changes or API updates
• Hosting or server-related issues

8.3 Disclaimer

We do not guarantee specific business outcomes, revenue growth, app store rankings, or search engine positions. Results from digital marketing and SEO services depend on many factors beyond our control.

9. Limitation of Liability

To the maximum extent permitted by law:

• UiSoftech's total liability for any claim arising out of our services shall not exceed the total fees paid by the client for the specific service giving rise to the claim
• We shall not be liable for indirect, incidental, consequential, special, or exemplary damages including loss of profits, data, or business opportunities
• We are not liable for failures caused by circumstances beyond our reasonable control (force majeure)

This limitation applies regardless of the form of action, whether in contract, tort, or otherwise.

10. Termination

10.1 Termination by Client

The client may terminate a project by providing 14 days written notice. Upon termination:

• All work completed up to the termination date will be invoiced and payable
• Advance payments are non-refundable as per our Refund Policy
• All deliverables completed and paid for will be handed over

10.2 Termination by UiSoftech

We reserve the right to terminate a project if:

• The client fails to make payment within 14 days of the due date
• The client acts in a manner that is abusive, threatening, or illegal
• The client requests us to create content that is illegal, fraudulent, or violates third-party rights

10.3 Suspension

We may suspend project work without liability if payment is overdue or if the client fails to provide required materials for more than 30 days. A reactivation fee may apply to restart a suspended project.

11. Dispute Resolution

In the event of any dispute arising from these Terms or our services, the parties agree to:

1. Negotiation: Attempt to resolve the dispute through good-faith negotiation within 15 days of written notice
2. Mediation: If negotiation fails, submit the dispute to mediation by a mutually agreed mediator
3. Arbitration: If mediation fails, resolve through binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 of India, with arbitration conducted in Jaipur, Rajasthan

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes subject to court proceedings shall be subject to the exclusive jurisdiction of the courts located in Jaipur, Rajasthan, India.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. We will notify clients of significant changes via email. Continued use of our services after modifications constitutes acceptance of the updated Terms.
